Vertiv to buy UtilityInnovation Group for USD $1.45bn

Vertiv has agreed to acquire UtilityInnovation Group for about USD $1.45 billion in cash, adding the company's microgrid and behind-the-meter power design business to its portfolio.

The agreement also includes up to USD $1.15 billion in additional cash consideration if UtilityInnovation Group meets specified EBITDA targets over 12- and 24-month periods. Vertiv said the initial purchase price represents about 13 times UtilityInnovation Group's expected 2027 EBITDA.

The transaction gives Vertiv a larger role in the early stages of data centre power planning, particularly as operators look for ways to secure electricity for artificial intelligence facilities in markets with limited grid access. UtilityInnovation Group designs microgrid systems, advanced power controls and power architecture for data centres, including systems that coordinate onsite generation and energy storage.

These activities sit upstream of Vertiv's existing data centre infrastructure business, which focuses on power and cooling equipment. By acquiring UtilityInnovation Group, Vertiv aims to extend its reach from the utility interconnect to rack-level infrastructure inside data centres.

Microgrids have become an increasingly important area for data centre developers as power constraints delay new projects in some regions. Behind-the-meter systems can reduce reliance on utility supply by combining onsite generation, storage and controls, while still allowing operators to connect to the grid when needed.

Founded in 2020, UtilityInnovation Group is headquartered in Raleigh, North Carolina, with its European headquarters in Dublin, and manufacturing operations in North Carolina and New Jersey. The company has worked on microgrid systems for AI data centre operators in the United States and Europe.

According to Vertiv, UtilityInnovation Group's technology includes a proprietary controls platform and pre-engineered microgrid switchgear used to manage multiple power sources in real time. Vertiv also highlighted the target company's role in site planning, where power architecture decisions can influence later equipment choices and broader infrastructure design.

Power constraints

The deal reflects a broader shift in the data centre market as developers contend with limited power availability and longer utility interconnection timelines. In that environment, companies that can help customers design alternative electricity arrangements may become more important to the build-out of AI infrastructure.

Vertiv expects the acquisition to expand its addressable market in power-constrained data centres and to be accretive to adjusted earnings per share in the first year after completion.

For customers, the pitch is that integrated planning could shorten the time needed to bring a site into operation. The combination could also give operators more options to increase site capacity beyond what the grid alone can provide.

"For AI data centre operators, competitive advantage increasingly depends on how quickly they can move from site selection to first token," said Gio Albertazzi, Chief Executive Officer of Vertiv.

"Vertiv has the most complete power and cooling portfolio in the industry. With UIG, we anticipate extending that portfolio upstream to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip without tying customers to a single generation technology or supplier," Albertazzi said.

He said the combined offering would support a range of site models.

"Together, we anticipate being better positioned to support grid-connected sites, bridge-to-grid deployments and islanded sites supplied by onsite generation, while reducing complexity from site planning through rack-level deployment. This broader capability can help customers accelerate time to power and, ultimately, time to first token," Albertazzi said.

For UtilityInnovation Group, the sale brings a larger owner with a global footprint in digital infrastructure.

Vertiv's global scale, critical infrastructure portfolio and service capabilities make it a strong strategic fit for what we have built. We believe this combination can expand the reach of UIG's microgrid controls and power architecture expertise and create greater value for customers as power becomes an increasingly critical constraint on data centre growth," said Hinton.

The acquisition remains subject to regulatory approvals and customary closing conditions.
